Capabilities

Six practice lines. One team.

Our practices are organised around the decisions our clients actually face. Most mandates draw on more than one, and all of them are led by a partner.

01

Mergers & Acquisitions

We run full sell-side and buy-side processes for shareholders who need the outcome to be right rather than merely fast. That means designing a process around the specific asset and the realistic buyer universe, controlling information carefully, and holding price discipline through diligence. On the buy-side we originate quietly, test the thesis honestly, and walk clients away from assets that do not survive scrutiny.

What this involves

  • Sell-side process design and management
  • Buyer identification and confidential outreach
  • Valuation and financial modelling
  • Negotiation of heads of terms and SPA support
  • Diligence coordination across advisers

Typical clients

Family holding groups, private equity sponsors, corporates pursuing regional expansion.

02

Capital Raising

We raise growth equity, private credit and structured facilities from investors who actually deploy in our markets. The work begins with an honest assessment of what the business can support, then moves to positioning, materials and a targeted investor process. We are comfortable with hard currency constraints, minority protections and the governance changes institutional capital tends to require.

What this involves

  • Equity and growth capital raises
  • Private credit and structured debt facilities
  • Development finance institution engagement
  • Investor materials, model and data room preparation
  • Term sheet negotiation and shareholder agreement support

Typical clients

Founder-led businesses, sponsor portfolio companies, infrastructure and industrial platforms.

03

Strategic Advisory

Not every question is a transaction. We advise boards and shareholders on where value is actually created in their portfolio, which markets justify entry, and what the credible alternatives to a deal are. The output is a decision, not a deck: a small number of options, honestly costed, with the consequences of each set out plainly.

What this involves

  • Portfolio and value-creation review
  • Market entry and expansion assessment
  • Shareholder alignment and succession planning
  • Strategic options analysis ahead of a transaction
  • Board-level advisory on capital allocation

Typical clients

Boards, founding shareholders, holding company management teams.

04

Valuation & Financial Analysis

We produce defensible valuations for transactions, shareholder disputes, restructurings and regulatory filings. Our models are built to be interrogated: transparent assumptions, sensitivity to currency and rate movements, and a clear articulation of what would have to be true for the numbers to hold.

What this involves

  • Independent valuation opinions
  • Integrated three-statement financial models
  • Purchase price allocation and fairness support
  • Scenario and sensitivity analysis in volatile currencies
  • Board and regulator-ready documentation

Typical clients

Boards, minority shareholders, auditors, regulated entities.

05

Restructuring & Special Situations

When a balance sheet stops working, the sequencing of decisions matters more than any single one. We stabilise the position, build a credible cash view, and negotiate with lenders and stakeholders from a defensible plan rather than a plea. Where disposals are the answer, we run them quickly and quietly.

What this involves

  • Short-term liquidity and cash flow assessment
  • Lender and creditor negotiation support
  • Balance sheet and covenant restructuring
  • Accelerated and distressed disposals
  • Stakeholder communication planning

Typical clients

Over-levered corporates, lenders, shareholders facing covenant pressure.

06

Cross-Border Advisory

This is the practice the firm was built around. We structure transactions that touch more than one jurisdiction, currency and regulator, and we translate between the expectations of each. That includes holding structure design, repatriation planning, and preparing regional businesses for the diligence standards European and institutional counterparties apply.

What this involves

  • Holding structure and jurisdiction selection
  • Currency, repatriation and capital control planning
  • Introduction to credible counterparties in each region
  • Regulatory and approval pathway mapping
  • Preparing regional businesses for international diligence

Typical clients

International strategics entering MENA, regional groups expanding into Europe and West Africa.
